Terms of Service

1. Who we are and what this covers

Emlyra is an email sending service operated by Neslife Research Private Limited, A-1107 Kailash Business Park, V S Road, Parksite, Vikhroli West, Mumbai – 400079 ("we", "us"). These Terms apply to everyone who creates an account, uses the dashboard, the API, the SMTP relay or any other part of Emlyra ("you").

By creating an account or using the service you agree to these Terms, to the Acceptable Use Policy and to the processing described in the Privacy Policy. If you use Emlyra for a company, you confirm that you may bind it, and "you" means that company.

2. Your account

• You must give accurate information, keep it up to date and be at least 18 years old.
• You are responsible for everything done with your account, its members, API keys and SMTP credentials. Keep them secret and enable two-factor authentication where it is offered.
• Tell us at once if you believe your account or a key has been misused.
• New organizations may be reviewed before they can send at full volume, and sending limits apply to every plan.

3. Sending email

You may send only from domains you own or control and have verified with us, and only to people who agreed to receive your email, as set out in the Acceptable Use Policy.

• You are the sender of your email and responsible for its content, your recipient lists and your compliance with the laws that apply to you and your recipients.
• Marketing email must contain a working unsubscribe link and your postal address. We add one-click unsubscribe headers and honour unsubscribes, bounces and spam complaints automatically; you may not work around them.
• We may hold, slow down or refuse email to protect deliverability, for example during the warm-up of our sending IPs, when a provider defers our mail or when your bounce or complaint rates are high. A message we accept is not guaranteed to reach an inbox.
• Mail received for your reply domains is kept for a limited time (see the Privacy Policy) and may be filtered as spam.

4. Plans, payment and taxes

• Each plan has the limits shown on the Billing page (email per month and per day, domains, contacts, team members). Some plans allow paid usage above the monthly quota, charged the next month.
• Paid plans are billed in advance through our payment provider. Prices exclude taxes unless stated otherwise; applicable taxes such as GST are added.
• If a payment fails we may limit your account after notice. You can cancel at any time; the plan stays active until the end of the paid period.
• Cancellations and refunds follow the Cancellation and Refund Policy.
• We may change prices with at least 30 days' notice by email; the change applies from your next billing period.

5. Suspension and termination

We may pause sending, suspend or close an account without notice when we reasonably believe it breaks these Terms or the Acceptable Use Policy, harms our platform, our other customers or recipients, or when the law requires it. Where it is safe to do so we will tell you why and give you a chance to respond.

You may close your organization at any time from its settings, or ask us to close your account. After closure we delete or anonymise your data as described in the Privacy Policy.

6. Your content and data

You keep all rights in your templates, contacts and email. You give us the permission needed to store, process, sign and transmit them to provide the service. For personal data of your recipients you decide why it is processed and we act on your instructions, as described in the Privacy Policy. You confirm you have a lawful basis, such as consent, for every address you upload or send to.

7. Availability and changes

We work to keep Emlyra available and secure, but we do not promise uninterrupted service. We may change, add or remove features; if a change materially reduces what a paid plan includes, we will tell you in advance. Planned maintenance is announced where practical.

8. Liability

The service is provided "as is". To the extent the law allows, we are not liable for indirect or consequential loss, lost profit, lost revenue or lost data, nor for the actions of mailbox providers and recipients.

Our total liability for any claim relating to the service is limited to the fees you paid us in the 3 months before the event giving rise to it. Nothing in these Terms limits liability that cannot be limited by law.

You will compensate us for claims by third parties arising from your email, your lists or your breach of these Terms or the law.

9. Law and disputes

These Terms are governed by the laws of India. The courts of Mumbai have exclusive jurisdiction, but we will first try to resolve any dispute with you in good faith. Complaints can also be raised with our Grievance Officer (see the Privacy Policy).

10. Changes to these Terms

We may update these Terms. We will tell account owners by email at least 15 days before a material change takes effect; continuing to use Emlyra after that means you accept it.
